(14) 'Person' means an individual, corporation, business trust, estate, trust, partnership, limited liability company, association, joint venture, public corporation, government or governmental subdivision, agency, or instrumentality, or any other legal or commercial entity. Section 33-43-902. Section 33-43-114. A limited liability company has the capacity to sue and be sued in its own name and the power to do all things necessary or convenient not inconsistent with law to carry on its activities. (7) A person's ceasing to be a manager does not discharge any debt, obligation, or other liability to the limited liability company or members which the person incurred while a manager. The law of this State governs: (1) the internal affairs of a limited liability company; and. Section 33-43-1004.
